"MESSAGES OF THANKS" GRANT OF RIGHTS AND RELEASE AGREEMENT

1. In consideration for the opportunity to participate in the "MESSAGES OF THANKS" Program ("The Program"), I, being over the age of 18, hereby grant to the United Service Organizations, Inc., ("USO") the right to use the message, and the illustrations, photographs and video (collectively "images"), and any other materials submitted hereunder, as well as my name, voice, likeness, and appearance therein, together with the personally identifying information I may provide on the connection therewith (collectively "Submission"), as further described below.

2. I further grant the USO, the right to edit my message, images and Submission in any manner, and to use and license others to use the same, or any portions, reproductions, derivations, or versions thereof in any and all media, in any manner, an unlimited number of times, in perpetuity, throughout the world, with or without charge or cost to end users or other third parties. I also grant USO the right to use and license others to use my message, images and Submission for promotion, publicity and/or marketing of USO or in any other manner as determined by USO in its sole discretion.

3. I represent and warrant that my message, images and Submission are true and my original work and that I have secured any and all rights, releases and permissions necessary for USO to use the message, images and Submission in the manner described in paragraph 3 of this Agreement and I represent and warrant that no further permissions or fees are due for USO's use of my message, images and Submission or any elements therein. I further represent and warrant that any statements made by me or others in the Story, Photo and/or Video Submission are true to the best of my knowledge and that neither they, nor any Element of my, message, images and Submission will violate any law or regulation or violate or infringe upon the rights of any third party.

4. I hereby waive any right of inspection or approval of my message, images and Submission as used by USO, including without limitation any approval of my appearance and/or use of my name therewith or the uses to which they may be put.

5. I acknowledge that the rights and waivers granted in this Grant Of Rights And Release Agreement are made by me without any expectation of or entitlement to compensation of any kind whatsoever and that USO will rely on this Release, potentially at substantial cost to it, and I hereby waive the right to assert any claim of any nature whatsoever against USO or any other party relating to the exercise of the rights and permissions granted hereunder. I agree to indemnify, defend and hold harmless the USO from any and all claims arising from its use of my message, images and Submission.
